Why eligibility rules vary by jurisdiction and how to verify the rules that apply to you. This evergreen guide is designed to stay useful between event-led news cycles.

Editorial label: Evergreen analysis. This guide explains concepts and decision questions. It is not a recommendation or an offer to buy securities.

Why the answer changes by country

“Accredited investor” is not a universal passport to private markets. The legal label, qualifying tests, available exemptions, and verification duties vary by jurisdiction. Some regimes use income or net worth, some recognize professional clients or sophisticated investors, and some products are limited by both investor status and the type of offering. For the foundation, read our pre-IPO investing guide.

Your residence, tax status, citizenship, the issuer’s location, and the provider’s regulatory permissions can all matter. Treat an online quiz as an initial screen, not a legal determination. The provider and the relevant regulator should be able to explain which rule allows the offer. For the next comparison, see company directory.

United States

In the United States, private offerings commonly distinguish accredited investors from other participants under securities exemptions. The tests can involve individual income, joint income, net worth, professional credentials, or certain entity characteristics. The exact test and verification method depend on the exemption and the provider’s process. For practical follow-through, review funds directory.

Do not assume that meeting one test makes every private product available. Some offerings impose additional suitability, investment-size, or relationship requirements. Confirm the exemption, the documents you must provide, and whether the issuer or intermediary is relying on a self-certification or a verification service.

India

India uses its own regulatory categories and product rules. A person’s eligibility for an alternative investment fund, portfolio management service, unlisted share transaction, or overseas investment route may depend on different requirements. The label used by a foreign platform may not map neatly onto an Indian category.

Ask the provider which Indian entity is offering the product, which regulator governs it, what minimum and suitability rules apply, and how foreign exchange, tax, custody, and reporting are handled. Verify current requirements with SEBI, RBI, and the provider’s formal documents rather than relying on a generic international checklist.

United Kingdom, Singapore, Australia, and Canada

The UK, Singapore, Australia, and Canada each use their own concepts for sophisticated, professional, wholesale, accredited, or permitted investors. The relevant test may depend on a certificate, a professional relationship, wealth or income, experience, or the product’s exemption. A person can qualify for one route and not another.

The practical question is not simply “am I wealthy enough?” It is “which exemption is this provider using, and what evidence must I supply?” Ask for the jurisdiction-specific disclosure, risk warning, and cooling-off or complaint information that applies to you.

UAE and other jurisdictions

In the UAE and other markets, the terms professional investor, qualified investor, sophisticated investor, and accredited investor may be used differently by regulators and financial centres. A provider licensed in one free zone or financial centre may not be permitted to market the same product across the whole country.

Check the provider’s exact licensed entity, permitted activity, target market, and geographic restrictions. Access through a website does not prove that an offer is lawful or suitable in your country, and a foreign entity may not provide the protections you expect from a local intermediary.

How verification works

Verification can include identity checks, income or asset evidence, professional qualifications, an accountant or adviser letter, a suitability questionnaire, and confirmation of residence. Only provide documents through the provider’s secure onboarding system. Keep a record of what you certified and the date because eligibility can change.

If a provider refuses to identify the rule, the licensed entity, or the documents it relies on, do not try to work around the gate. Eligibility protects both access and the disclosure framework around the offering.

If you do not qualify

Not qualifying for an accredited or professional route is not a reason to misstate your status. You may still have access to public markets, regulated funds, certain crowdfunding exemptions, or educational tools, depending on your jurisdiction. Those alternatives can offer better liquidity and disclosure for your objectives.

The safest next step is to identify what you are trying to achieve, then compare lawful routes on cost, liquidity, and information quality. A private company name is not worth bypassing an eligibility rule.
