What you actually own in a Precize deal

This is the single most misunderstood part of private-market investing, and it is worth being blunt about. Depending on the structure you may hold the underlying share directly, or you may hold a unit in a vehicle that holds the share. The difference determines your voting rights, your information rights, your tax treatment, and who stands between you and the company if something goes wrong.

  • Rights - direct holders may receive certain information and voting rights. Unit-holders in a vehicle usually do not.
  • Fees - a wrapper adds a fee layer that compounds against your return for as long as you hold.
  • Exit - your ability to sell depends on the wrapper's rules as much as on the company's.
  • Counterparty - with a vehicle you take sponsor risk on top of company risk.

Due diligence: what to ask Precize before you commit

The questions below are the ones that separate an informed allocation from a hopeful one. A provider that answers all of them in writing is demonstrating something meaningful about how it operates.

Ask in writing, before you wire anything

  1. What exactly do I own? The underlying security, a unit in a vehicle, or a contractual interest in someone else's position?
  2. What is the all-in cost? Placement fee, annual management fee, carried interest, administration - quantified, in writing.
  3. Is there a hurdle before carry? If the sponsor takes a share of profit from the first unit of gain, your net outcome changes materially.
  4. What is the price relative to the last primary round? A premium may be justified; an unexplained one is a warning.
  5. Who is selling, and why? In a secondary transaction your counterparty is another shareholder. Employee liquidity is normal; an early investor exiting entirely is worth understanding.
  6. Has the company approved the transfer? Rights of first refusal and transfer restrictions can void a deal after you have agreed it.
  7. What happens at an IPO? Lock-up length, distribution mechanics, and whether the vehicle distributes shares or cash.
  8. What happens if the sponsor fails? Who holds the asset, who administers it, and what your recourse is.
  9. What reporting will I receive, and how often? Annual marks, audited or unaudited, and on what basis they are struck.
  10. What are the tax consequences in my jurisdiction? Including withholding on distributions and reporting obligations.

Read the offering document rather than the marketing page. In our experience the two most common surprises are a fee layer that was disclosed but not emphasised, and a lock-up or transfer restriction that only becomes real when you try to exit.

Who Precize is not right for

Honest comparison means saying when a provider is the wrong answer. Precize is likely a poor fit if any of the following apply to you:

  • You may need the money within five years. Private positions do not reliably convert to cash on demand.
  • This would be a large share of your net worth. Single-name private exposure should be sized as money you can lose entirely.
  • You do not meet the eligibility test. Attempting to work around accreditation or jurisdictional rules is not a strategy.
  • You are buying because of a headline valuation. A number in the press is not an entry price, and it is often stale.

Beyond the underlying company risk, three things are worth weighing. Concentration: single-name private positions are undiversified by construction, and one company failing is a total loss on that position. Structure: you are exposed to the sponsor's solvency and administration, not only to the company. Liquidity: assume you cannot exit until a listing or acquisition, and treat any secondary resale option as a bonus rather than a plan.
