How alternative investment funds and portfolio management services differ in structure, access and responsibility. This evergreen guide is designed to stay useful between event-led news cycles.
What the two structures do
An Alternative Investment Fund, or AIF, pools money from investors under a defined fund strategy. A Portfolio Management Service, or PMS, generally manages a portfolio for a client under a separate mandate. The legal structure, custody, reporting, fee model, and investor rights can therefore differ even when both mention private-market exposure. For the foundation, read our pre-IPO investing guide.
The governing documents and the regulated entity matter more than the label. Confirm whether you are subscribing for fund units, holding securities in an account, or receiving exposure through another vehicle. For the next comparison, see company directory.
Eligibility and suitability
AIF and PMS routes can have different minimums, investor categories, suitability checks, and jurisdictional restrictions. A person who can use one route may not meet the requirements of the other, and a foreign or private-company allocation may add another eligibility layer. Ask the provider which regulator governs the service, what the minimum commitment is, what evidence is needed, and which risks are considered in suitability. Do not treat a marketing minimum as the same thing as a legal eligibility threshold.
Control and ownership
A fund manager makes investment decisions for an AIF within its mandate. A PMS manager also has discretion, but the client’s securities, reporting, and mandate can be structured differently. The question is who owns the underlying security, who votes, and who can approve a transfer.
Read the investment policy, concentration limits, valuation policy, side-pocket or illiquidity provisions, and termination rights. These details tell you what can happen when a private holding cannot be sold on the expected schedule.

Compare management fees, performance fees or carry, brokerage, custody, administration, taxes, exit charges, and any underlying fund or SPV fees. A product with one visible fee can still contain costs at the portfolio or vehicle level.
Ask how often redemptions are allowed, whether gates or lock-ups apply, how private assets are valued, and whether the manager can suspend withdrawals. A PMS account does not make an illiquid asset liquid, and an AIF’s stated term may be extended.
Diligence on the manager
Review the manager’s regulatory record, investment team, valuation controls, conflict policy, custody arrangement, audit, reporting, and process for handling errors. Ask how private holdings are sourced and how the manager distinguishes a reported transaction from an internal estimate.
Past performance is not a promise. Look for whether performance is shown net of all fees, how unrealized positions are valued, and whether the track record includes the same strategy and liquidity terms as the product being offered.
How to compare the options
Build a side-by-side table covering legal entity, regulator, ownership, strategy, minimum, fees, carry, lock-up, redemption, valuation, reporting, tax documents, conflicts, and wind-down. Then compare the product with a liquid public-market allocation rather than comparing only two private products.
The suitable answer depends on your objective, time horizon, need for control, tolerance for valuation uncertainty, and ability to lock capital. If you cannot explain the differences from the documents, pause and ask for clarification.

Confirm the current position with the regulated provider, official regulator material, and a qualified professional for your circumstances. AIF versus PMS is a structure question before it is a return question. Start with access, ownership, cost, liquidity, and governance, then decide whether the exposure belongs in your portfolio at all.
